Agreement to Terms

These Terms of Service ("Terms") constitute a legal agreement between you ("Customer," "you," or "your") and StorageCore, Inc. ("StorageCore," "we," "us," or "our") regarding your use of the StorageCore software platform and related services ("Service").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

Description of Service

StorageCore provides cloud-based software designed to help self-storage facility operators manage their business operations, including but not limited to:

  • Facility and unit management
  • Tenant relationship management
  • Payment processing and billing
  • Reporting and analytics
  • Tenant portal and self-service capabilities
  • API access and integrations

Account Registration and Eligibility

To use our Service, you must:

  • Be at least 18 years of age and capable of forming a binding contract
  • Operate a legitimate self-storage business
  • Provide accurate, current, and complete information during registration
  • Maintain and update your account information as needed
  • Be responsible for maintaining the confidentiality of your account credentials

Subscription Plans and Payment Terms

Subscription Plans

StorageCore offers multiple subscription plans with different features and pricing. Current plans and pricing are available on our website and may be updated from time to time.

Payment Terms

  • Subscription fees are billed in advance on a monthly or annual basis
  • All fees are non-refundable unless otherwise specified
  • We accept major credit cards and ACH bank transfers
  • Failed payments may result in service suspension after notice
  • Price changes will be communicated 30 days in advance

Free Trial

We offer a 14-day free trial for new customers. No payment information is required to start your trial. At the end of the trial period, you must subscribe to continue using the Service.

Acceptable Use Policy

You agree not to:

  • Use the Service for any illegal or unauthorized purpose
  • Violate any applicable laws or regulations
  • Interfere with or disrupt the Service or servers
  • Attempt to gain unauthorized access to any systems or data
  • Reverse engineer, decompile, or disassemble the software
  • Remove or modify any proprietary notices or labels
  • Use the Service to transmit viruses or malicious code
  • Resell or redistribute the Service without permission
  • Use the Service in a way that could damage our reputation

Data Ownership and Privacy

Your Data

You retain ownership of all data you input into the Service ("Customer Data"). We do not claim ownership of your Customer Data and will only use it as necessary to provide the Service and as described in our Privacy Policy.

Data Security

We implement industry-standard security measures to protect your data, including encryption, access controls, and regular security audits. However, no system is 100% secure, and you acknowledge the inherent risks of data transmission and storage.

Data Backup and Recovery

We maintain regular backups of Customer Data. In the event of data loss, we will make reasonable efforts to restore your data from backups. You are responsible for maintaining your own backup copies of critical data.

Intellectual Property

Our Rights

StorageCore and its licensors own all rights, title, and interest in the Service, including all intellectual property rights. These Terms do not grant you any ownership rights in the Service.

License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Service during your subscription term for your internal business operations.

Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without restriction or compensation.

Third-Party Integrations

The Service may integrate with third-party services ("Integrations"). Your use of Integrations is subject to the terms and policies of the respective third parties. We are not responsible for the availability, functionality, or security of Integrations.

Service Availability and Support

Uptime

We strive to maintain 99.9% uptime but do not guarantee uninterrupted service. Planned maintenance will be announced in advance when possible.

Support

Support is provided according to your subscription plan:

  • Starter Plan: Email support with 24-48 hour response time
  • Professional Plan: Priority email support with 4-8 hour response time
  • Enterprise Plan: Phone and email support with 1-4 hour response time

Termination

Termination by You

You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of your current billing period.

Termination by Us

We may suspend or terminate your access to the Service immediately if you:

  • Violate these Terms
  • Fail to pay subscription fees after notice
  • Engage in fraudulent or illegal activities
  • Pose a security risk to the Service or other users

Effect of Termination

Upon termination, your access to the Service will cease, and we may delete your Customer Data after a reasonable period. You should export any data you wish to retain before termination.

Warranties and Disclaimers

Limited Warranty

We warrant that the Service will perform substantially in accordance with our documentation under normal use conditions.

Disclaimer

EXCEPT AS EXPRESSLY SET FORTH ABOVE, THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STORAGECORE'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE DURING THE 12 MONTHS PRECEDING THE CLAIM.

IN NO EVENT SHALL STORAGECORE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE.

Indemnification

You agree to indemnify and hold StorageCore harmless from any claims, damages, or expenses arising from your use of the Service, your Customer Data, or your violation of these Terms.

Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes will be resolved through binding arbitration in San Francisco, California, except that either party may seek injunctive relief in court.

Changes to Terms

We may modify these Terms at any time by posting updated Terms on our website. Material changes will be communicated via email or Service notification. Your continued use of the Service after changes constitute acceptance of the modified Terms.

General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and any order forms, constitute the entire agreement between you and StorageCore regarding the Service.

Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full force and effect.

Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

Force Majeure

Neither party will be liable for delays or failures due to causes beyond their reasonable control, including natural disasters, government actions, or network outages.
